Extensive market research revealed that the name iPower resonated well – it was memorable, impactful, and aligned with our mission. We even ran a contest to define what iPower could stand for as acronym. The winning submission was:

The word CLUB was chosen to emphasize our focus on community and collaboration. The result was a name that represents both purpose and people – and iPower.CLUB was born!

At iPower.CLUB, innovation meets sustainability through a bold new approach to growth and opportunity. Founded by M.L. “Mickey” Valentine, we’ve built our platform around the Viral Geometric Replicator™ – a groundbreaking system rooted in civic capitalism and powered by advanced technology.

This replicator is more than a tool – it’s a scalable growth engine designed specifically for building and leading large, collaborative teams, while incubating sustainable, high-impact ventures. Instead of chasing rapid expansion, we’ve engineered a system that grows intelligently – adapting in real time to support long-term success.

Civic Capitalism is a dynamic new approach that redefines how businesses and our economic system should operate. It prioritizes shared prosperity and community well-being alongside profitability. The overall philosophy is guided by four core principles:

  1. Pursue Purpose Beyond Profits: Civic Capitalism recognizes that businesses should serve a greater purpose beyond merely maximizing profits and shareholder value. They should actively contribute to the broader social good. Thus, they must be driven by values that uplift communities and enhance quality of life.
  2. Maximize Stakeholder Engagement and Equity: Businesses practicing Civic Capitalism should also be committed to creating value for every stakeholder, not just its shareholders. This includes the company’s customers, employees, suppliers, investors, local communities, and the environment. By properly balancing these interdependent interests, they can achieve sustainable, inclusive growth.

The relationship between iPower.CLUB, LLC and StakeVision, Inc. is that of subsidiary to parent company. StakeVision, Inc., a Nevada corporation, currently holds a 10% equity ownership stake in iPower.CLUB, LLC which confirms the formal corporate linkage in which StakeVision serves as the parent entity. Both companies share a corporate address in Carson City, Nevada, and operate within a common legal and administrative framework.

iPower.CLUB, LLC technically functions independently in its day-to-day operations. All operational policies, onboarding processes, compensation plans, and divisional activities are issued under iPower.CLUB’s own name and authority. This includes responsibility for its incubator system, marketing programs, legal compliance, and Independent Business Owner (IBO) management. Michael Lee “Mickey” Valentine functions in a dual role as both the Founder and Managing Director of iPower.CLUB, LLC and the Founder and CEO of StakeVision, Inc.

StakeVision’s overarching role as the parent organization is more strategic than operational. The company provides advisory input, financial oversight, and manages third-party investor involvement, but is not involved in the direct management or daily decision-making within iPower.CLUB, LLC. Therefore, while the two entities are linked legally and structurally, iPower.CLUB, LLC operates as a self-governed business unit with its own leadership, processes, and entrepreneurial autonomy.

iPower.CLUB’s equity model for IBOs is framed around the principle of contribution-driven value creation within a collaborative incubator system. IBOs are provided with opportunities to participate in the early development of Divisional Entities and to benefit from their success. While our model promises the potential for “earned equity,” the Company has not yet disclosed the exact metrics, structures, or formulas that will determine how contributions are quantified or how equity will ultimately be awarded. Thus, while the vision is ambitious and rooted in participatory Civic Capitalism, the specific legal and financial mechanics behind IBO equity remain undefined and unpublished at this time. This is necessary, as the Divisional Entity teams will help drive the development process and thus have a significant voice in how the final equity distribution will be accomplished. Regardless, up to 80% of the equity generated by the Divisional Entity will be available to the stakeholders participating on the team.

iPower.CLUB is currently incubating six Divisional Entities teams spanning finance, media, real estate, politics and blockchain. They are: iPowerMortgages, iPowerInsurance, iPowerNews, iPowerRealEstate, iPowerPolitics, and iPowerCrypto.

Most Divisional Entity teams are naturally limited in size by the number of available Zip-Codes. Notably, iPowerCrypto is a company-wide initiative requiring the participation of every IBO to help undergird the development of a proprietary new blockchain system designed to enhance transparency, content security, and decentralized growth for both the Company and all Divisional Entity stakeholders.

At present, the Company’s efforts and resources are tightly focused on the development of its six existing Divisional Entity teams. There are no other early-stage ventures currently being planned. There is, however, an informal process is in place for members to propose additional incubation projects. In general, that requires the submission of an acceptable pitch deck presentation, plus prior identification of a sufficiently large group of IBOs willing to commit their time, talent, and resources to any new Divisional Entity incubation project being proposed.

iPower.CLUB is NOT a MLM company.

Everyone knows that excellent marketing and recruitment functions are absolutely critical for the success of every company. Frankly, that’s what makes networking such a very powerful model. Like you, however, we know that most MLM company schemes are little more than giant pyramid scams riddled with abuse.

Instead of using affiliate marketing as an alternative method – another popular system also designed for the benefit of the company and not the people doing the work – we decided to fix the networking model. So, we designed a robust compensation system rooted in a very limited, multilevel format similar to traditional network marketing. That alone sets iPower.CLUB, LLC completely apart from all other company’s. Our Civic-Capitalism based system presents a very clear and highly-distinguished departure from the way that most all other companies work. We foster teamwork and collaboration, and handsomely reward those who do the work with the bulk of the equity in what they help create and build.

All of the commissions we pay and the earned equity opportunities we offer are based on value creation and participation in defined IBO Divisional Entities, not simply recruitment or bulk product orders. Participation in most Divisional Entities is even limited by Zip-Code to avoid abuse, and opportunities to do good like supporting iPowerPolitics are purposefully non-commissionable, thereby reinforcing both fiscal accountability and economic sustainability.

With our focus on blockchain innovation, political engagement, and entrepreneurial incubation, iPower.CLUB is well positioned in today’s market as a highly competitive, mission-driven, Civic Capitalism alternative. We are purposefully designed to grow through teamwork, training, and strategic development rather than hype, overselling, and unrealistic objectives. In other words, as we like to say it, iPower.CLUB is a stakeholder first company, designed specifically to build: Economic Opportunity for ‘We the People’.

To join iPower.CLUB as an Independent Business Owner, you must be an individual, be of legal age, provide valid identification, agree to the Company’s full Legal Terms, and complete a detailed onboarding process facilitated via the company’s online platform.

Upon registration and acceptance, members choose which IBO Divisional Entity teams they wish to join and pay all associated fees. Thereafter, the system emphasizes ethical conduct, active participation, and decentralized leadership as key components of success. Members are expected to contribute to both the business and the mission of their chosen Divisional Entities – acting as entrepreneurs, educators, and advocates for sustainable, blockchain-integrated economic empowerment and Civic Capitalism.

For the sake of privacy and security, iPower.CLUB, LLC will only feature Independent Business Owner profiles and case studies internally, not in public-facing website materials.

As you might imagine, based on the nature of our Divisional Entities – which range from blockchain/crypto development to political organizing to real estate, media, and insurance – individuals with relevant domain knowledge, leadership, or networking skills are likely to have a stronger initial foundation and understanding of the incubation process for the Divisional Entity teams in which they choose to participate.

IBOs will receive all necessary foundational training and mentoring resources to help them succeed in their chosen Divisional Entities. This will include guidance with onboarding, compliance-based marketing training, support for team leadership, and more. Special emphasis on blockchain literacy will also be provided regarding the iPowerCrypto Divisional Entity, to which all IBOs will belong, as it will serve as a core platform designed to further empower the Company and all Divisional Entity stakeholders.

Exact details and schedules for training opportunities and more will be made public as the Divisional Entities grow and develop. The iPower.CLUB platform purposefully relies very heavily on decentralized team coaching and internal leadership development to support IBO growth across entrepreneurial, marketing, and blockchain-related functions. As the Company and the Divisional Entities grow, so too will the associated training and other opportunities. The entire process is designed to be a symbiotic, collaborative relationship that is mutually beneficial for all.

The Summer 2025 soft launch on August 15th for iPower.CLUB is fast approaching, with six Divisional Entities already established and primed for inclusion in the initial release. While it is not possible to accurately predict dates for a formal, detailed schedule or phased rollout plan, foundational features such as IBO registration, back-office systems, and divisional onboarding will be live.

The iPowerCrypto Division – serving as the blockchain backbone of the platform – will play a central role in the development of the Company and all Divisional Entities, but it must be rolled out in stages. It is an extensive undertaking and will require all associated funds to be set aside in a development fund until being released for the phased development. iPowerPolitics will likewise feature very prominently, particularly in building a ZIP-Code-based, grassroots leadership framework and talent pipeline that is supportive of the Company and all Divisional Entity stakeholders.

iPower.CLUB is clearly mission-oriented – focused on economic independence, civic engagement, and blockchain participation. Thus, our concept of and commitment to sustainability has been fully embedded within our S.E.E.D.S. (Sustainable Economic Enterprise Development Systems) framework. It’s literally part of our DNA. Likewise, our plans to implement blockchain technology through the iPowerCrypto Divisional Entity is designed to assure future transparency in all financial reporting and in the tracking of impact metrics

It takes time and the power of teamwork to build such powerful systems and tools, but unlike those who just talk the talk, we have prepared the Company and its IBOs to actually walk the walk. Without such tools, future impact assessments would at best be anecdotal or internal – inaccessible to the public or the broader stakeholder community.

We developed our operational plans and the Company’s Legal Terms with the help of a highly experienced team of attorneys and have received front-end clearance from state Attorney Generals across the United States.

iPower.CLUB’s equity and compensation models are designed to comply with U.S. legal standards by emphasizing independent contractor status, limiting commissionable activity, avoiding excessive product purchases, and ensuring compliance with all regulatory issues. We operate with awareness of key regulatory boundaries and have put mechanisms in place to mitigate the potential of regulatory violations or risks. Compliance across jurisdictions is managed through binding legal terms, arbitration agreements, and a strict internal code of conduct for all IBOs.

Likewise, securities-related issues related to any future equity offerings will be governed by formal legal documents and be undertaken subject to the Securities Act and all relevant state laws.

iPower.CLUB, LLC does not have a board of directors or a formal public advisory panel. Those are traditional corporate governance models designed to provide fiduciary oversight which often fail to function as designed due to power struggles inherent within purely capitalistic or socialistic enterprises. Given our focus on Civic Capitalism, we have made significant internal provisions for consultancy and an “Advisory Committee” to handle member grievances and enforce policy compliance. 

We believe in the wisdom of the old saying, “There is one smarter than all of us, and that is all of us as one,” so we will always work diligently to help train leaders and build strong team management structures within our incubator system. Nevertheless, final decision-making authority over the Company and all Divisional Entities remains with the Founder and Managing Director, M.L. “Mickey” Valentine, as the senior executive leader, until such time as a team grows and matures to the point of self-governance.
